Who can be a company director or a company secretary?

Company’s officers, who are company directors and secretary, are the people or organisations formally appointed to run a limited company. Directors and secretaries are company’s employees. They may or may not be company shareholders.

 

Company members (shareholders) can at their discretion appoint any individual or organisation they consider appropriate to manage their company. As a rule, a company’s articles of association stipulates how many and which officers the limited company should have.

 

In doing so, the following rules must be observed:

  • A private company limited by shares (ltd) must have at least one director. There is no need to appoint a company secretary. Company’s articles of association may impose an obligation to nominate more company’s officers.
  • A private company limited by shares (ltd) must have at least one director who is an individual person. Other company’s officers may be organisations, which are called corporate directors.
  • A company director must not be under the age of 16.
  • A company director must not have been disqualified from acting as a company director or be an undischarged bankrupt.

Apart from that, the company director does not need to meet any other legal or professional requirements. Hence, it is entirely possible for one person to form a company as a sole shareholder and director at the same time.

 

A limited company (ltd) must keep registers containing most details of its individual and corporate directors and secretaries, including their residential addresses. The registers should be updated whenever company officer’s details have changed. The company must also notify Companies House if its directors’ details have changed.

 

The legislation does not require limited companies to appoint a secretary unless their articles of association prescribe it. There are no special regulations what the company secretary has to do. It is usually regulated by his employment contract.
